XPOZ MCP - Terms of Use

Welcome to XPOZ MCP, an interface that enables Large Language Models (LLMs) to access XPOZ's proprietary data, repositories, and analytical models (the "Service"). By installing, enabling, or using the XPOZ MCP, you agree to these Terms of Use (the "Terms"). If you do not agree to these Terms, do not use the Service.

1. Eligibility and Acceptance

By using the Service, you represent and warrant that:

• You are at least 18 years old, or you have full legal authority to enter into these Terms.
• If you are using the Service on behalf of a company or organization, you are authorized to bind that entity.

Use of the Service constitutes full acceptance of these Terms.

2. Nature of the Service

The Service provides MCP-based access to XPOZ's proprietary datasets, models, and insight engines. Analyses, insights, summaries, dashboards, or any generated output ("Outputs") are produced by the LLM you choose to use, not by XPOZ.

XPOZ does not validate, guarantee, control, or review any Output generated through the Service.

3. User Responsibilities

You agree to:

• Use the Service only in accordance with these Terms and all applicable laws.
• Ensure that all data, prompts, files, lists, or instructions you provide are lawful and that you have the rights to use them.
• Independently review and validate all Outputs before relying on them or making decisions based on them.

You are solely responsible for all use, reliance on, distribution of, and actions taken based on Outputs.

4. Prohibited Use

You may not, directly or indirectly:

• Use the Service to build, train, or enhance a competing product or dataset.
• Attempt to reverse-engineer, decompile, or derive source code from the Service.
• Use the Service to harass, harm, target, or unlawfully profile individuals or organizations.
• Circumvent rate limits, security protections, or access controls.
• Submit or process data that is unlawful, harmful, defamatory, or that violates privacy or intellectual property rights.

XPOZ may immediately suspend or terminate access to the Service in case of suspected or actual misuse.

5. Third-Party Platforms & LLM Providers

The Service requires connecting to third-party LLM platforms (including but not limited to ChatGPT, Claude, etc.). You acknowledge that:

• You are solely responsible for maintaining your accounts with such providers.
• Your use of any LLM is subject exclusively to that provider's terms and policies.
• XPOZ is not responsible for availability, accuracy, security, or performance of any third-party platform or LLM.

6. Data Rights

Any data, prompts, keywords, files, or lists you submit ("Client Data") remain yours. You represent that you have all necessary rights to submit and use such data.

To operate the Service, XPOZ may:

• Process and store Client Data,
• Apply data filtering, throttling, or caching,
• Remove Client Data that violates these Terms.

7. Intellectual Property

All rights, title, and interest in and to:

• XPOZ datasets
• repositories
• indices
• software
• models
• tools
• the MCP interfaces

are and shall remain exclusively owned by XPOZ. No ownership or intellectual property rights are transferred to you.

8. No Warranty (AS-IS)

The Service is provided "AS IS" and "AS AVAILABLE." XPOZ makes no warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, availability, reliability, merchantability, or fitness for a particular purpose.

XPOZ does not warrant or guarantee the correctness of Outputs generated by LLMs.

9. Limitation of Liability

To the maximum extent permitted by law:

• XPOZ is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, business, profits, or data.
• XPOZ's total liability under these Terms shall not exceed the total fees paid by you (if any) for access to the Service in the twelve (12) months preceding the event giving rise to liability.

If you use the Service for free, XPOZ has no liability whatsoever.

10. Termination

XPOZ may suspend or terminate your access to the Service at any time and for any reason, with or without prior notice.

Upon termination:

• Your right to use the Service immediately ceases.
• All sections of these Terms that by nature should survive termination shall survive (including intellectual property, warranty disclaimers, and limitations of liability).

11. Modifications to These Terms

XPOZ may update these Terms at any time. Changes will take effect once posted on the XPOZ website or communicated via the Service. Continuing to use the Service after such changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Israel. All disputes will be resolved exclusively in the competent courts of Tel-Aviv, Israel.
